These Terms govern your use of <strong>abstraction.agency</strong> and the services Abstraction provides. By using this site or engaging us for work, you agree to them.
01Agreement
These Terms are between you and Abstraction (“we”, “us”), a software and AI studio led by Otito Ogene, based in Enugu, Nigeria. Each project is also governed by a separate written proposal or statement of work; where that proposal and these Terms differ, the proposal controls for that project.
02Our services
We provide design, software engineering, AI agent development, automation, and related consulting. The exact scope, deliverables, timeline, and fees for any engagement are set out in a written proposal after a discovery call.
03Proposals and scope
Work is quoted in a written proposal. Anything outside the agreed scope is handled as a change request, which may affect timeline and cost. We will confirm changes with you before carrying them out.
04Fees and payment
- Fees, schedule, and any deposit are stated in the proposal.
- Invoices are due by the date shown on them. Work may pause on overdue accounts.
- Unless stated otherwise, fees exclude third-party costs (for example hosting, API usage, or model provider charges), which are your responsibility.
05Your responsibilities
To keep a project moving, you agree to provide timely feedback, necessary access and materials, and accurate information, and to use the deliverables lawfully.
06Intellectual property
On full payment, you own the custom deliverables we create for you. We retain ownership of our pre-existing tools, libraries, and know-how, and grant you a licence to use them as part of the deliverables. Unless we agree otherwise in writing, we may reference the work and non-confidential visuals in our portfolio.
07Confidentiality
Each side agrees to protect the other’s confidential information and use it only to carry out the engagement.
08Warranties and disclaimers
We deliver our services with reasonable skill and care. Beyond what is expressly agreed, the site and services are provided “as is”. AI systems are probabilistic and we do not warrant specific outputs, accuracy figures, or business results unless stated in writing in a proposal.
09Limitation of liability
To the extent permitted by law, neither party is liable for indirect or consequential losses, and our total liability for any engagement is limited to the fees you paid us for that engagement.
10Third-party services
Our work often integrates third-party platforms and models. You are responsible for your own accounts, licences, and usage costs with those providers, and their terms apply to your use of them.
11Termination
Either party may end an engagement as set out in the proposal. On termination, you pay for work performed up to that point, and each side returns or deletes the other’s confidential materials on request.
12Website use
You may not misuse this site, attempt to disrupt it, or copy its content and branding without permission.
13Governing law
These Terms are governed by the laws of the Federal Republic of Nigeria, and disputes are subject to the courts of Enugu State, without limiting any mandatory rights you have where you live.
14Changes
We may update these Terms from time to time. The “last updated” date above reflects the current version.
